Paramount has agreed to postpone the closure of its $81 billion acquisition of Warner Bros. Discovery in the United States, extending the deadline well into the next year. This decision comes in response to a challenge from 12 states seeking to block the deal, with Paramount stating that the merger will not be finalized until June 1, 2027, or until a court ruling is made regarding the states’ lawsuit.

The delay follows a recent ruling by U.S. District Judge Araceli Martinez-Olguin granting a temporary restraining order to halt the transaction for several weeks. The judge acknowledged the states’ concerns about the merger’s potential impact on competition, stating that serious questions had been raised regarding the deal’s implications.

Paramount described the agreement reached on Friday as a significant victory, emphasizing that it paves the way for a trial based on evidence to demonstrate the merger’s benefits for competition and the industry at large. The company, which was acquired by Skydance last year, views this as the most efficient approach to validate the positive impact of the merger.

Led by California, the 12 states have filed a lawsuit against Paramount’s acquisition of Warner Bros., arguing that the merger would stifle competition in Hollywood and limit choices for consumers. New York Attorney General Letitia James, a key figure in the legal action, criticized the deal as detrimental to various stakeholders in the entertainment industry, including workers, artists, and audiences.

The potential merger between Warner Bros. and Paramount would unite two of the last five legacy studios in Hollywood, along with a range of TV networks, streaming content, and news outlets. Notably, the deal would involve HBO Max, currently exclusive to Crave in Canada, which is owned by Bell Media. Bell Media has confirmed that HBO and HBO Max programming will remain on Crave for the foreseeable future under its agreement with Warner Bros. Discovery.

Overall, the agreement to delay the buyout reflects the ongoing legal challenges and the complexities surrounding the proposed merger between Paramount and Warner Bros. Discovery.
